1. Acceptance of These Terms
These Terms of Use (“Terms“) govern your access to and use of https://rodpaigelegacy (the “Site“) operated by The Rod Paige Scholars & Leaders Foundation(“The Rod Paige Scholars & Leaders Foundation “we,” “us,” or “our“), a 501(c)(3) nonprofit organization. By accessing or using the Site, making a donation, or submitting a scholarship application, you agree to these Terms and to our Privacy Policy, which is incorporated by reference.
If you do not agree to these Terms, do not use the Site.
If you are under 18, you may use the Site and submit a scholarship application only with the consent and supervision of a parent or legal guardian who agrees to these Terms on your behalf. See Section 5.
By using the Site, you represent and warrant that: (a) you have the legal capacity to enter into these Terms; (b) any information you submit is true, accurate, current, and complete; and (c) if you are acting on behalf of another person or entity, you have authority to bind that person or entity to these Terms.
2. About THE ROD PAIGE SCHOLARS & LEADERS FOUNDATION
THE ROD PAIGE SCHOLARS & LEADERS FOUNDATION is a nonprofit organization recognized as tax-exempt under Section 501(c)(3) of the Internal Revenue Code. Our mission is to provide college scholarships and related support to eligible students. The Site allows users to learn about our programs, make donations, apply for scholarships, and communicate with us.
THE ROD PAIGE SCHOLARS & LEADERS FOUNDATION does not guarantee that any applicant will receive a scholarship, that any donation will be tax-deductible in a particular amount for a particular donor, or that the Site or any program will be available at all times. Scholarship eligibility, selection criteria, award amounts, disbursement timing, and program requirements are determined by THE ROD PAIGE SCHOLARS & LEADERS FOUNDATION in its discretion, subject to applicable law and any published program rules.
3. Changes to These Terms
We may update these Terms from time to time. We will post the updated version on the Site and update the “Last Updated” date above. Your continued use of the Site after the updated Terms become effective means you accept the revised Terms.
If we make material changes, we may also provide additional notice by email, through the Site, or by other reasonable means.
4. Use of the Site
You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Site in any way that violates applicable law or regulation
- Submit false, misleading, or fraudulent donation or scholarship application information
- Interfere with the operation or security of the Site
- Attempt to gain unauthorized access to any part of the Site, user accounts, or related systems
- Use bots, scrapers, or automated means to access the Site without our written permission
- Upload or transmit viruses, malicious code, or other harmful material
- Infringe the intellectual property, privacy, publicity, or other rights of THE ROD PAIGE SCHOLARS & LEADERS FOUNDATION or any third party
- Use the Site to harass, abuse, threaten, defame, or otherwise harm another person
- Misrepresent your identity, age, relationship to an applicant, or authority to act on behalf of another person
- Submit scholarship application materials on behalf of another person without authorization
- Attempt to manipulate the scholarship review process, eligibility determinations, donation processing, or Site analytics
- Use the Site for commercial solicitation, fundraising for third parties, or any purpose unrelated to THE ROD PAIGE SCHOLARS & LEADERS FOUNDATION’s mission without our prior written consent
We may suspend, restrict, or terminate your access to the Site at any time, with or without notice, if we believe you violated these Terms or if necessary to protect the Site, THE ROD PAIGE SCHOLARS & LEADERS FOUNDATION, applicants, donors, or others.
5. Minors and Scholarship Applicants
Because some scholarship applicants are high school students, special rules apply.
5.1 Users under 18
If you are under 18, you may browse public portions of the Site only with the involvement of a parent or legal guardian, and you may submit a scholarship application or provide personal information only with the consent of your parent or legal guardian.
A parent or legal guardian who permits a minor to use the Site or submit a scholarship application agrees to these Terms on the minor’s behalf and is responsible for the minor’s compliance with them.
5.2 Children under 13
The Site is not directed to children under 13. We do not knowingly permit children under 13 to create accounts or submit personal information through the Site except where we expressly provide a program that allows it and obtain verifiable parental consent as required by law.
5.3 Scholarship application responsibilities
By submitting a scholarship application, you represent and warrant that:
- all information submitted is truthful, complete, and not misleading;
- you have the right to submit all essays, recommendations, transcripts, images, and other materials included in the application;
- any parent, guardian, school official, recommender, or other third party whose information is submitted has authorized that submission where required; and
- you will promptly notify THE ROD PAIGE SCHOLARS & LEADERS FOUNDATION if any material information in your application changes.
THE ROD PAIGE SCHOLARS & LEADERS FOUNDATION may request additional documentation, conduct reasonable verification, contact schools, references, parents or guardians, or decline or revoke an application or scholarship award if information is inaccurate, incomplete, unverifiable, or submitted in violation of these Terms or program rules.
6. Donations
If you make a donation through the Site, you agree to provide current, complete, and accurate payment and billing information.
All donations are generally final and nonrefundable, except where required by law or where THE ROD PAIGE SCHOLARS & LEADERS FOUNDATION determines in its sole discretion to issue a refund due to error, duplicate payment, unauthorized transaction, or other exceptional circumstance.
THE ROD PAIGE SCHOLARS & LEADERS FOUNDATION may use third-party payment processors and fundraising platforms to process donations. By making a donation, you authorize us and our service providers to process your payment using the payment method you provide. Your use of third-party payment services may also be subject to separate terms and privacy policies of those providers.
We will use donated funds consistent with our mission and applicable law. Unless we expressly agree in writing to a legally binding restricted gift, THE ROD PAIGE SCHOLARS & LEADERS FOUNDATION retains sole control over the use, allocation, and reallocation of donated funds, including to meet operational needs and program priorities consistent with donor intent, applicable law, and our tax-exempt purposes.
Donation acknowledgments and tax receipts are provided for convenience only and do not constitute legal or tax advice. It is your responsibility to determine the tax treatment of any donation in consultation with your tax advisor.
7. Accounts and Security
If the Site permits you to create an account, you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us promptly of any unauthorized use of your account or any other security incident.
We may disable or suspend any username, password, account, or access credential at any time if we believe it is necessary for security, legal compliance, or protection of THE ROD PAIGE SCHOLARS & LEADERS FOUNDATION, donors, applicants, or other users.
8. User Content and Submission License
If you submit or upload any content to the Site, including scholarship application materials, essays, photographs, testimonials, messages, or other content (collectively, “User Content“), you retain ownership of your User Content, but you grant THE ROD PAIGE SCHOLARS & LEADERS FOUNDATION a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, use, review, modify for formatting or administrative purposes, distribute internally, and disclose that User Content as reasonably necessary to operate the Site, administer scholarship programs, evaluate applications, comply with law, protect rights and safety, and carry out our nonprofit mission.
You represent and warrant that you own or control all rights necessary to submit the User Content and to grant the license above, and that your User Content does not violate any law or third-party rights.
If you are awarded a scholarship, THE ROD PAIGE SCHOLARS & LEADERS FOUNDATION may request separate consent before using your name, photo, likeness, school, award amount, or story for publicity, donor stewardship, marketing, or impact reporting, except as otherwise permitted by law.
9. Intellectual Property
The Site and its contents, features, functionality, text, graphics, logos, designs, software, and other materials are owned by THE ROD PAIGE SCHOLARS & LEADERS FOUNDATION or its licensors and are protected by copyright, trademark, and other applicable laws.
You may use the Site for your personal, noncommercial use only. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, transmit, or exploit any part of the Site except as expressly permitted by these Terms or with our prior written consent.
THE ROD PAIGE SCHOLARS & LEADERS FOUNDATION’s name, logos, slogans, and other marks may not be used without our prior written permission.
10. Third-Party Services and Links
The Site may contain links to third-party websites, tools, donation platforms, application platforms, social media pages, or other services that we do not own or control. We are not responsible for those third parties or for their content, availability, terms, or privacy practices.
Your dealings with third parties are solely between you and the third party. THE ROD PAIGE SCHOLARS & LEADERS FOUNDATION is not liable for any loss or damage arising from your use of or reliance on any third-party service.
11. No Professional Advice
Information on the Site is provided for general informational purposes only. It is not legal, tax, financial, academic, admissions, or other professional advice, and it is not a promise or guarantee of eligibility, selection, admission to any educational institution, or future funding.
12. Disclaimers
THE SITE AND ALL CONTENT, SERVICES, AND FUNCTIONALITY PROVIDED THROUGH IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ROD PAIGE SCHOLARS & LEADERS FOUNDATION DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, QUIET ENJOYMENT, AND THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
THE ROD PAIGE SCHOLARS & LEADERS FOUNDATION DOES NOT WARRANT THAT DONATIONS WILL BE SUCCESSFULLY PROCESSED WITHOUT INTERRUPTION, THAT APPLICATION MATERIALS WILL ALWAYS BE RECEIVED OR REVIEWED BY A PARTICULAR DEADLINE ABSENT CONFIRMATION FROM THE ROD PAIGE SCHOLARS & LEADERS FOUNDATION, OR THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED. USERS ARE RESPONSIBLE FOR SUBMITTING APPLICATIONS AND DONATIONS IN SUFFICIENT TIME AND FOR RETAINING COPIES OF SUBMITTED MATERIALS AND CONFIRMATIONS.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ROD PAIGE SCHOLARS & LEADERS FOUNDATION AND ITS DIRECTORS, OFFICERS, EMPLOYEES, VOLUNTEERS, AGENTS, AFFILIATES, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SITE, THESE TERMS, ANY DONATION, ANY SCHOLARSHIP APPLICATION, OR ANY THIRD-PARTY SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE ROD PAIGE SCHOLARS & LEADERS FOUNDATION AND ITS RELATED PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU DONATED TO THE ROD PAIGE SCHOLARS & LEADERS FOUNDATION THROUGH THE SITE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS OR LIMITATIONS OF LIABILITY, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW.
14. Indemnification
You agree to defend, indemnify, and hold harmless THE ROD PAIGE SCHOLARS & LEADERS FOUNDATION and its directors, officers, employees, volunteers, agents, affiliates, contractors, service providers, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and reasonable attorneys’ fees arising out of or relating to: (a) your use of the Site; (b) your violation of these Terms; (c) your User Content; (d) your violation of any law or the rights of any third party; or (e) if you are a parent or guardian, the minor’s use of the Site or submission of information.
15. Termination
We may terminate or suspend your access to the Site or any part of it at any time, with or without notice, for any reason or no reason, including if we believe you have violated these Terms.
Upon termination, the rights granted to you under these Terms will cease immediately, but all provisions that by their nature should survive termination will survive, including ownership provisions, disclaimers, limitations of liability, indemnities, dispute-related provisions, and any payment or donation terms.
16. Governing Law and Disputes
These Terms and any dispute arising out of or relating to these Terms or the Site are governed by the laws of the State of Texas, without regard to its conflict of laws rules.
Any legal action arising out of or relating to these Terms or the Site must be brought exclusively in the state or federal courts located in Harris County, Texas, and each party consents to the personal jurisdiction and venue of those courts.
You and THE ROD PAIGE SCHOLARS & LEADERS FOUNDATION waive, to the fullest extent permitted by law, any right to a jury trial in any action arising out of or relating to these Terms.
17. Miscellaneous
These Terms constitute the entire agreement between you and THE ROD PAIGE SCHOLARS & LEADERS FOUNDATION regarding the Site and supersede all prior or contemporaneous understandings relating to the Site.
If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.
Our failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.
You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign these Terms without restriction.
These Terms do not create any partnership, joint venture, employment, agency, fiduciary, or other special relationship between you and THE ROD PAIGE SCHOLARS & LEADERS FOUNDATION.
Any notice required or permitted to be given to THE ROD PAIGE SCHOLARS & LEADERS FOUNDATION under these Terms must be sent to the contact information listed below or to any updated contact information posted on the Site.
